1.Basic Policy on Corporate Governance

We will meet the expectations of all stakeholders, including stockholders, customers, employees, society, and partner companies, by promoting corporate activities that result in long-lasting and stable development under our corporate philosophy, corporate image to aim for and code of conduct. To realize this, we will establish fair, transparent, and effective corporate governance.

Board of Directors

The Company has eight directors, three of whom are outside directors. The Board of Directors meets regularly once a month, and extraordinary meetings are held as necessary. The Board of Directors makes decisions on important management matters and supervises for business execution.

Audit and Supervisory Committee

The Audit and Supervisory Committee of the Company consists of four directors who are members of the Audit and Supervisory Committee, three of whom are outside directors who are members of the Audit and Supervisory Committee. We strive to exchange and form audit opinions through monthly Audit and Supervisory Committee meetings, and to enhance our audit and supervisory functions.

Accounting Auditor

The company’s accounting audit is conducted by Deloitte Touche Tohmatsu LLC, an accounting auditor pursuant to the companies Act and the Financial Instruments and Exchange Act.

Company activities make sense only if the global environment, which is the foundation for everything, is sound.
Yotai strives to reduce the consumption of natural resources and energy as economically as possible through technological means, work to reduce waste, recycle resources, and contribute to the conservation of the global environment in order to preserve the sound, rich global environment.

We use refractories to recycle. Some waste plastic and tires, which are discharged from daily use, are used as fuels for manufacturing raw cement materials and cement and are recycled in large amounts.
The company has a high share of the cement industry, and we will contribute to environmental conservation by offering products that can withstand high temperatures and waste.
The refractories are used in high-temperature waste incinerators and melting furnaces that do not generate dioxin.

We sponsor the Hinase Minato Matsuri Fireworks Display as our contribution to regional development.

YOTAI's Baseball Club

We recommend and support rubber baseball for employees to promote good health, raise morale, and interact with communities (registered as a member of the Bizen Branch of Japan Rubber Baseball Association).

Cleaning Activities

Our Hinase plant helps to clean up national roads in Bizen City and raise awareness for drivers through once-a-year reminders in cooperation with companies in the Toubi area as registered as members of the Traffic Safe Driving Council.

"DEZOMESHIKI" of the Hinase-cho volunteer fire department

We also participate in the New Year’s parade of fire department brigades of Bizen City and Hinase Town every February to promote the development of vital communities. In this event, approximately 100 fire brigade members, who are divided into the Minamoto and Taira families under red and white flags, fight a water-discharge battle from boats by releasing water toward the opposing team’s members. Finally, five-colored seawater is released toward the sky as a prayer for peace for the coming year.
